Cenovus Energy Inc. has announced a significant acquisition of Athabasca Oil Corp. for $5.7 billion in cash and stock. The company’s CEO expressed optimism about the potential for increased production from Athabasca’s current 40,000 barrels per day output, aiming to reach 115,000 barrels per day by 2032, which he described as a significant growth opportunity in the Canadian oilsands sector.
This acquisition follows recent government policy changes that are expected to support production growth in the oilsands industry. The federal government’s approval of a major pipeline project and new legislation for streamlined regulatory reviews have created a more favorable environment for investments in oilsands development.
Cenovus CEO Jon McKenzie highlighted the positive steps taken by the federal and Alberta governments to enhance the sector’s competitiveness. These measures, including tax deductions for investments and upcoming royalty incentives, are seen as catalysts for accelerating growth projects in the region.
Under the terms of the agreement, Athabasca shareholders will have the option to receive $12 in cash or 0.264 of a Cenovus common share for each share they hold, with limits on the total cash and shares available. Analysts view the acquisition as strategically valuable due to the scarcity of premium thermal assets and the favorable outlook for oilsands development.
The deal signifies a consolidation trend in the Canadian oilsands industry, with larger companies like Cenovus, ConocoPhillips, and others dominating the market. This acquisition will increase Cenovus’ share of total oilsands production to 21.5%, further concentrating ownership among major players in the sector.
The transaction is expected to close in December, pending regulatory and shareholder approvals. Cenovus shares closed lower while Athabasca’s stock price surged following the announcement, reflecting market reactions to the deal.
